What this document does
This agreement addresses almost all of the problems that may arise between you and your web writer, graphic designer or coder. Here are some of the most important provisions. Of course there is much more:
- You approve the website design in stages but pay for additional work on an agreed basis.
- Regulating customer (your) changes to the agreed specification.
- Providing concisely for responsibility for search engine strategy and other matters where you require certainty.
- Lists excluded matters for separate attention - e.g. names, hosting; payment service provision.
- Testing and acceptance.
- Alternative payment arrangements.
- Clear and strong identification and protection of your intellectual property.
- Appropriate legal provisions - exclusions, indemnities, etc.

Recent reviews
One useful article to add to the template would be to have a provision where you cap the total amount that the project will cost. I did receive estimates from developers with a lower limit and an upper limit. I therefore introduced a paragraph where I basically said that the overall project fee will not go beyond the estimated upper limit (in terms of hours--converted into price) that the developers quoted initially. I also added a provision whereby developers will endeavour to keep the total number of development hours to the minimum possible.
