It is essential that a deed of variation is used whenever you want to change the terms of a contract, or vary the contract terms. Why a deed? An essential ingredient of a legally binding contract is that each party must give 'consideration' to the other; that is to say, for example, money in return for goods. When such a contract is altered or assigned, there may not always be such consideration or value moving each way, in return for the assignment. A deed does not require this movement of value between the parties in order to be legally effective, so a document such as this must be a deed.
