Variation agreement

This is a deed of variation of any contract.

It is essential that a deed of variation is used whenever you want to change the terms of a contract, or vary the contract terms. If you simply agree the changes verbally, it will be very difficult to prove your position later, should a dispute arise. By using this document, you protect yourself from later claims.

This deed of variation is suitable in almost all circumstances. It allows the parties of any contract to change certain agreed provisions of an existing contract. Such a need may come about as a result of previously unforeseen changing circumstances, such as increase in prices of materials, increases in overheads; a change of destination or even a significant change in the central objective.

Why a deed? An essential ingredient of a legally binding contract is that each party must give 'consideration' to the other; that is to say, for example, money in return for goods.  When such a contract is altered or assigned, there may not always be such consideration or value moving each way, in return for the assignment. A deed does not require this movement of value between the parties in order to be legally effective, so a document such as this must be a deed.
